1. Agreement to Terms

By accessing or using the services provided by ThrivePulse (“Company,” “we,” “us,” or “our”), including our website, online courses, coaching services, iridology sessions, and conference offerings, you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our services.

2. Services Provided

ThrivePulse offers the following services:

• One-on-one iridology eye reading sessions (video or in-person)
• Personalized productivity coaching
• Custom wellness protocols
• Follow-up consultations

2.2 Conference & Corporate Services

• Corporate workshops and seminars
• Group productivity training
• Speaking engagements
• Team transformation programs

2.3 Online Courses

• Self-paced learning programs
• Productivity and wellness courses
• Digital resources and materials
• Community access

3. Eligibility

You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach
• We reserve the right to suspend or terminate accounts that violate these Terms

5. Booking and Payment Terms

5.1 Pricing

• All prices are displayed in Euros (€) unless otherwise stated
• Prices are subject to change with notice
• Promotional offers are subject to specific terms and conditions
• Malta VAT (18%) applies where required by law

5.2 Payment

• Payment is required at the time of booking unless otherwise arranged
• We accept major credit cards, PayPal, and bank transfers
• All payments are processed securely through third-party payment processors
• Failed payments may result in service suspension

5.3 Refund Policy

Iridology & Coaching Sessions:

• Full refund if cancelled 48 hours before the scheduled session
• 50% refund if cancelled 24-48 hours before the session
• No refund for cancellations within 24 hours or no-shows
• Emergency cancellations considered on a case-by-case basis

Corporate Services:

• Cancellation terms specified in individual service agreements
• Typically require 30-day notice for full refund
• Partial refunds may apply for later cancellations

6. Scheduling and Cancellations

6.1 Client Responsibilities

• Arrive on time for scheduled sessions
• Provide advance notice for rescheduling (minimum 48 hours)
• Ensure stable internet connection for video sessions
• Have necessary equipment ready (camera for iridology readings)

6.2 Company Rights

• We reserve the right to reschedule sessions due to emergencies or unforeseen circumstances
• Full refund or alternative session offered if we cancel
• Sessions may be recorded (with consent) for quality and reference purposes

7. Intellectual Property Rights

7.1 Company Content

• All content, materials, and intellectual property remain the property of ThrivePulse
• This includes course materials, videos, protocols, methodologies, and branding
• Content is protected by copyright, trademark, and other intellectual property laws

7.2 License to Use

We grant you a limited, non-exclusive, non-transferable license to:

• Access and use purchased course materials for personal use
• Download materials as specified for your personal reference
• Use personalized protocols provided during sessions

7.3 Prohibited Uses

You may NOT:

• Reproduce, distribute, or sell our content
• Create derivative works or modifications
• Share your account access or course materials with others
• Use our methodologies for commercial purposes without written permission
• Remove copyright or proprietary notices
• Reverse engineer or extract methodologies for commercial use

8. User-Generated Content

If you submit testimonials, feedback, or other content:

• You grant us a perpetual, worldwide license to use, reproduce, and display such content
• You represent that you have the right to submit such content
• We reserve the right to edit or remove content at our discretion
• We will not use your testimonial without your explicit permission

9. Health and Wellness Disclaimer

9.1 Nature of Services

• Iridology is a complementary wellness practice, not medical diagnosis
• Our coaching focuses on productivity, stress management, and personal development
• We do not diagnose, treat, cure, or prevent any disease
• Results may vary based on individual circumstances

9.2 Your Responsibilities

• Consult with qualified healthcare professionals for medical concerns
• Inform us of any health conditions that may affect your participation
• Follow medical advice from licensed healthcare providers
• Use our services as complementary to, not replacement for, medical care

9.3 No Guarantees

• We do not guarantee specific results or outcomes
• Success depends on your commitment, circumstances, and individual factors
• Testimonials represent individual experiences, not typical results

10. Professional Conduct

Both parties agree to maintain professional conduct:

10.1 Client Conduct

• Treat staff and coaches with respect
• Provide honest information for optimal service delivery
• Refrain from harassment, discrimination, or inappropriate behavior
• Respect session boundaries and scheduled time

10.2 Company Conduct

• Maintain professional boundaries
• Provide services with integrity and confidentiality
• Respect your privacy and personal information
• Deliver services as described

11. Confidentiality

• Information shared during sessions is confidential
• We will not disclose your personal or health information without consent
• Exception: Where required by law or to prevent harm
• Session recordings (if made with consent) are kept secure and private

12. Limitation of Liability

12.1 No Liability For:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Personal injury or health issues arising from use of our services
• Technical failures, internet connectivity issues, or platform problems
• Third-party service provider failures

12.2 Maximum Liability

Our total liability for any claim arising from our services shall not exceed the amount you paid for the specific service in question, or €500, whichever is less.

12.3 Exceptions

Nothing in these Terms limits liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be limited by law

13. Indemnification

You agree to indemnify and hold ThrivePulse, its officers, employees, and agents harmless from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your misuse of our services
• Your violation of any third-party rights
• Any content you submit or share

14. Third-Party Services

Our services may integrate with or reference third-party platforms:

• Calendars App integration
• Video conferencing platforms (Zoom, etc.)
• Payment processors
• Course hosting platforms

We are not responsible for third-party services, their availability, or their terms of service.

15. Modifications to Services and Terms

15.1 Service Changes

• We reserve the right to modify, suspend, or discontinue services
• Existing commitments will be honored
• Advance notice provided when possible

15.2 Terms Changes

• We may update these Terms periodically
• Changes effective upon posting with new “Effective Date”
• Continued use constitutes acceptance of updated Terms
• Significant changes will be communicated via email

16. Termination

16.1 By You

• You may cancel your account at any time
• Refunds subject to our refund policy
• Outstanding payments remain due

16.2 By Us

We may suspend or terminate your access if you:

• Violate these Terms
• Engage in fraudulent or illegal activities
• Fail to make required payments
• Abuse or harass our staff

16.3 Effect of Termination

• Access to services and materials ceases
• No refunds for unused portions unless required by law
• Provisions regarding confidentiality, intellectual property, and liability survive termination

17. Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of Malta and the European Union, without regard to conflict of law principles.

17.2 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of the courts of Malta.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ThrivePulse regarding the use of our services and supersede all prior agreements.

21. Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

22. Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

23. Electronic Communications

By using our services, you consent to receive electronic communications from us. You agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement for written communications.

24. Language

These Terms are provided in English. While translations may be provided for convenience, the English version shall prevail in case of any discrepancies.
